We typically work with prospective middle market business buyers in one of two ways: (1) where we have been engaged by a business owner to assist them in selling their businesses by bringing the business opportunity to the market and negotiating offers with prospective buyers and, (2) where we have been engaged by prospective business buyers who retain us to identify, contact and negotiate acquisitions with business owners who commonly are not actively pursuing the sale of their businesses. Most business intermediaries refer to the first type of engagement as a “sell-side” engagement and the latter type engagement, where we have been retained by the prospective business buyer, as a “buy-side” engagement.

Our typical “buy-side’ engagement incorporates the following steps:

  • Assisting the prospective buyer with the development of a buying strategy
  • Conducting a search for potential acquisition targets which would meet the buyer’s strategy and financial criteria
  • Initiating discussions with acquisition candidates and screening the candidates
  • Establishing valuation expectations for both the buyer and seller
  • Assisting with the negotiation, due diligence and documentation processes related to the acquisition
  • Assisting with the identification of potential sources of funding for the transaction
